Carlton Mathias

Carlton is the Vice President Law, ESG and Corporate Secretary at OPG, where he is the trusted advisor to the Board and the company on all corporate governance matters. He leads all Board and Committee operations, working closely with the Board Chair and the OPG President & CEO on corporate governance and board matters. In addition, Carlton is the Vice President of the Law Department which consists of over 15 lawyers, helping the department achieve its strategic and business plan objectives. Carlton also leads OPG’s work on reporting on OPG’s environmental, social and governance work.

Carlton was called to the Bar of Ontario in 1993, having graduated from Osgoode Hall Law School and the University of Toronto before that. He practiced first as a commercial litigator and was a partner at Dentons LLP, and then a partner at Gowlings WLG in the Energy and Infrastructure Group.

Carlton is currently a member of the Institute of Corporate Directors Chapter Executive for the GTA, and a director of PowerON Energy Solutions, a company involved in the business of the electrification of public transit in Ontario. From 1993 to 2015, Carlton was a member of the Ontario Bar Association, in the Natural Resources and Energy Section. From 2010 – 2012, he was Chair of the Natural Resources and Energy Section. Carlton has been an adjunct professor at Osgoode Hall Law School instructing in both the Trial Practice and Lawyer as Negotiator courses.
