Innovations in Board and Director Evaluations for Sophisticated Boards

Board members are typically highly accomplished businesspeople who have a track record of jaw-dropping achievements. So how can boards empower their directors in terms of board and director evaluations.  More sophisticated directors are increasingly demanding more from their board and individual director evaluation processes. Beverly Behan, who routinely works with boards in the S&P1500, Fortune 500 and other public company boards in the US, Canada and around the world, will lead a discussion on the latest innovations in board and director evaluations.

Key Subjects include:

  • Creating Board 2.0
  • A new approach that blows the socks off any skills matrix and creates boards that many Chairs and CEOs can only dream about
  • The New Director 360
  • A dynamite new offering designed in 2019 for a Fortune 100 board that included an icon of American business –the final stage in a truly world-class director onboarding program
  • Board composition benchmarking
  • An attention-getter that uses your compensation peer group in a brand-new way

Presenter:

Beverly Behan
President, Board Advisor, LLC.

Beverly Behan has worked with over 175 Boards of Directors over the past twenty years, ranging from recent IPOs to the Fortune 500 - from New York and Toronto to Bogota, Kuala Lumpur and Tel Aviv. Her clients are typically boards that want to get to the top of their game – and stay there. While she has “never met a board she couldn’t make even better”, this can range from initiatives primarily designed to keep a great board vibrant to more significant changes designed to very tangibly take a board “from good to great”.

Beverly’s work in board and director evaluations dates to 1996, when she conducted the first individual director evaluation ever conducted by a major North American company board, the Bank of Montreal. Since that time, she’s undertaken this work for dozens of boards around the world, including one of the largest conglomerates in Southeast Asia, a major global company based in the Middle East, large family controlled companies in Latin America and dozens of boards of public and private companies throughout the U.S. and Canada. She also authored “Board and Director Evaluations in the 21st Century” for the Conference Board of Canada (April, 2015) and subsequently released a US version which was featured on the Nasdaq’s website and in The Corporate Board magazine.

For the past 5 years, a significant part of her consulting practice has also involved working with boards to design an effective CEO succession planning process, arguably the board’s single most important decision. She also regularly works with companies looking to redesign their board composition either due to a change in strategic direction, an IPO or other factors and with new CEOs seeking to establish a highly constructive working relationship with their board.

Beverly’s last book “Great Companies Deserve Great Boards: A CEO’s Guide to the Boardroom” (Palgrave Macmillan, 2011) was named Governance Book of the Year in the United States by Directors & Boards magazine and ranked #1 for 4 weeks on the Globe & Mail’s business best-seller list. She has also been quoted as an expert in corporate governance and board effectiveness by The Wall Street Journal, Fortune, CBS Marketwatch, The Times of London and many other publications. She served as a regular columnist for Bloomberg BusinessWeek on board related issues (“The Boardroom”) from 2007-2011 and a columnist for LISTED (The Toronto Stock Exchange magazine) from 2014 -2017.

Beverly is a native of Canada who has dual US citizenship and resides in New York City.

Andrew Blott,
Chairman of the Board, Service Inspired Restaurants

Andrew Blott was named Chairman of the Board of Service Inspired Restaurants (SIR) in 2019.   SIR is a privately-held Canadian restaurant chain that includes the brands Jack Astor’s, Scaddabush and Reds.  The company has a board of 10 – comprised of 7 long-standing directors, including Chief Executive Officer and company founder, Peter Fowler, and 3 new directors joining the board in 2020.  As Chairman, Andrew successfully led the search for SIR’s three new board members and accomplished this within 6 months of the board deciding to recruit - and agreeing on director recruitment priorities -  the outcome of a comprehensive board evaluation process undertaken in 2019.

Andrew also serves as a director of Apache Industrial Services (an industry leading US industrial services provider), Skyway Canada Limited (an industry leading Canadian scaffolding services provider), Lone Start Texas Grill (a Texas-themed Canadian restaurant chain) and RailCrew Xpress (an industry leading provider of logistics services to the US Class One railways).

Earlier in his career, Andrew spent 10 years on Wall Street originating and structuring leveraged buyouts, M&A and leveraged finance transactions at firms including Credit Suisse First Boston, Salomon Smith Barney, Banc of America Securities and CIBC World Markets.

He is a member of the Maple Leaf Chapter of the Young Presidents Organization.
