In-camera session

    A Small Private company asks:

    We are trying to determine the best way to deal with in-camera session during board meetings.  Previously we recorded the motion to move in-camera, provided a brief description of what was discussed (no details or specifics) and then the motion to return to the open session.  At the last meeting, we were asked to revise the previous minutes to include only the motions, no mention of what was done. 

    We have done some research and from what we read is that the minutes should include the brief summary, no details/specifics.  How does everyone else handle this issue?

    Hi, 

    For in-camera items I follow the following procedure:

    • the motion to move in-camera
    • what staff stayed or exited
    • the agenda item only - no details
    • the motion to move out of in-camera
    • who returned from staff 
    • approve any resolutions and/or record any action items

    Hi. We follow similar process with following addition:
     - Chair is responsible to advise Corporate Secretary if any discussion or decision should be minuted. Sometimes the basic discussion is minuted. More often it is not. 

    - Option to keep separate confidential in camera minutes (instead of minuting in the regular meeting minutes).

    Absent and legal, bylaw or policy requirements to the contrary, I don't think there is any need for any part of the in camera session to be minuted at all.  The meeting chair can advise the corporate secretary if any decisions were made in camera (although it would be better for the decision to be made in open session immediately following the in camera session).

    Just my thoughts.
