    What levels of staff in your organization are appointed or recommended by the Board of Directors?  In addition, are changes to Officer titles brought to the Board for approval?

    Generally, the heads of major business units/functions (i.e. President, Consumer Foods) and executive/management (Treasurer, SVPs, Corporate Secretary,CFO, CEO, CIO, COO, President) are Board-appointed officers.  The Assistant Corporate Secretary is also a Board-appointed officer.  We submit title changes to the Board for approval to avoid any confusion.

    CEO is recommended by the Board of Directors and appointed by the Minister responsible.  Changes to Officer titles don't require board approval.

    Only the CEO is appointed by the Board of Directors. Changes to Officer Titles are brought to the Board for approval.

    We are Crown Corporation established under the Business Corporations Act.  The Board appointes the CEO and the Corporate Secretary.  The Board also approves the Officers of the Corporation.

    At Canada Lands Company, all Officers are appointed by the Board and remuneration of Officers is also approved by the Board unless delegated to the CEO.

    Only the CEO is appointed by the Board of Directors and only the CEO reports to the Board.

    Officer titles are stipulated in the Bylaws; therefore, a change to the titles would require a change to the Bylaws, hence a ¾ resolution. (assuming you mean officers of the Board, not staff officers).

    The CEO is the only employee of the Board and, therefore, the only Board appointed member of management.

    The titles of corporate officers are included in the by-laws, therefore requiring Member approval to change.  The roles of corporate officers are described in Board policy and therefore only require Board approval to be revised. 

    Titles of senior management positions are not approved by the Board.
