Director Nomination/Election Process

    Hello! We are looking to mature our director nomination and election process, and wondered if anyone could provide me with a road map of your cycle (timing and steps) that you go through, from needs determination to the election.

    Further, does your annual board performance assessment process tie in? Are the results of performance assessment (say peer assessments) incorporated into the nomination/election process?

    Hi Suzanne,

    As a government agency, we do not set the timeline of director appointments, but generally speaking government appointees sit on our Board for a six year maximum (sometimes appointed in 1, 2 or 3 year renewable terms). 

    The Board evaluates its performance and that of its committees against its Mandate and Charter. It then reviews its rolling Board Succession Plan to determine if there are gaps in the skills matrix relative to its mandate and its performance. They review this plan on an annual basis and use it as it's overall recruiting strategy for new members.

    The results of individual peer evaluations would not become part of our Board's recruitment strategy for new members.  This process is done solely for the benefit of strengthening, if needed, individual director performance.   The results of the peer evaluations are confidential between the Chair and individual director.

    HI Suzanne,

    I'm happy to connect and share our practices and succession framework if that helps.  Let me know if that would be of assistance.  ATB also includes its director skills matrix in the annual report, which is available online.  The skills matrix, along with discussions at the Governance and Conduct Review Committee would determine what key attributes and skills we would be looking for in a director at a point in time.
