    What services are included in Board Chair and Committee Chairs retainer fees? What policies do you have in place to determine whether or not additional meeting fees are paid for Board Chair and Committee Chairs outside of regular board and committee meetings.

    At our Crown Corporation, we are guided by Treasury Board Guidelines on Director Pay. These Guidelines allow us to pay up to a set amount for retainers, and also a set amount for meeting fees ($375 for meetings of 4 hours or less, $750 over four hours). Directors are limited to 30 "meeting fees" per year (inclusive of Board and Committee meetings)....this is usually enough to cover all regular and special meetings, except in special cases. Provisions are in place to seek government approval for exceptions. Directors appointed prior to adoption of these Guidelines are grandfatherd into the previos Guidelines which also permitted "other fees" ($250/hr, to $750/day max) for other work requested by the Board Chair. The new guidelines have no such provision and explicitly state that where retainers apply they are intended to cover all prepration.

    Our Not-for-profit company pays an annual retainer for the Board Chair, Directors and COmmittee Chairs. 

    The purpose of the annual retainer is to compensate directors for serving as a Director of the corporation, including nominal attendances and/or commitments required by a Director that would not normally be compensated through the receipt of per diems.  This would include items such as:

    1. Attendance/participation in conference call meetings of the Board or other designated committees/task forces of less than 30 minutes.
    2. Telephone calls other than those made while away on company business.
    3. Any business or travel (excluding mileage) under one hour.
    4. reparation for board/committee/special task force meetings - e.g. time (hours) spent reviewing meeting materials and information.

    We have a remuneration policy in place that outlines more specific details.
